  • "Terms and Conditions" (also referred as "Terms") mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.

  • "User" (referred to as either "You" or "Your") refers to the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

  • Maintain and promptly update your account information

  • Maintain the security of your account and password

  • Accept responsibility for all activities that occur under your account

  • Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, not current, or incomplete.

Subscription and Billing

Some aspects of the Service are provided on a subscription basis. By selecting a subscription plan, you agree to pay the subscription fees as described at the time of purchase.

Subscription fees are billed in advance on a recurring basis, depending on the type of subscription plan you select. Billing cycles are set on a monthly or annual basis.

You may cancel your subscription at any time. Upon cancellation, your subscription will remain active until the end of your current billing period. We do not provide refunds for the unused portion of your subscription period.

Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations

  • Infringe upon the rights of others

  • Upload or transmit viruses, malware, or other malicious code

  • Interfere with or disrupt the integrity or performance of the Service

  • Attempt to gain unauthorized access to the Service or related systems

  • Collect or harvest data from other users without their consent

  • Send unsolicited communications or spam

  • Engage in any activity that could harm minors

We reserve the right to terminate or suspend your access to the Service immediately, without prior notice or liability, for any breach of these Terms.

Content and Intellectual Property

Your Content: By uploading content to the Service, you retain all rights to your content. You grant us a non-exclusive, worldwide, royalty-free licence to use, reproduce, modify, adapt, publish, translate, and distribute your content in connection with providing the Service to you.

Our Content: The Service and its original content, features, and functionality are owned by Syncity AI Limited and are protected or pending international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

AI-Generated Content

Our Service uses artificial intelligence to generate content based on your inputs. With respect to AI-generated content:

  • You retain ownership of the AI-generated content created specifically for you through our Service

  • You are responsible for reviewing all AI-generated content before publishing or distribution

  • We make no guarantees regarding the accuracy, originality, or appropriateness of AI-generated content

  • You agree to use AI-generated content in compliance with applicable laws and regulations

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Syncity AI Limited be liable for any indirect, punitive, incidental, special, consequential damages, or any damages whatsoever including, without limitation, damages for loss of use, data, or profits, arising out of or in any way connected with:

  • The use or inability to use the Service

  • The performance of the Service

  • Any actions we take or fail to take as a result of communications you send

  • Any content obtained from the Service

  • Unauthorized access, use, or alteration of your transmissions or content

Our liability is limited whether or not we have been informed of the possibility of such damages.

Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Syncity AI Limited expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • The Service will function uninterrupted, secure, or available at any particular time or location

  • Any errors or defects will be corrected

  • The Service is free of viruses or other harmful components

  • The results of using the Service will meet your requirements

Indemnification

You agree to defend, indemnify, and hold harmless Syncity AI Limited, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms

  • Your use of the Service

  • Your content

  • Your violation of any third party rights

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may discontinue using the Service or contact us to request account deletion.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on this page and updating the "Last Updated" date.

Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. If you do not agree to the new terms, you are no longer authorised to use the Service.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

    Both licences give full access to Syncity AI, the difference is simply how many people can use it.

    • Founder licence (£49) is for one person

    • Team licence (£99) includes up to five people

    • Additional users can be added at £19 per person

    As your team grows, you don’t need to change how the system works you just add more seats.

  • Yes.

    Every user has full access to Syncity AI, including Scouts, plans, priorities, and decision context. This keeps everyone aligned and removes the need for information to flow back through the founder.

    Syncity AI is designed to scale clarity across the team, not create permission bottlenecks.

    Annual plans will be introduced in the future, and when they are, existing customers will be offered the best available pricing for their organisation.

    For now, monthly plans keep things simple, flexible, and fair as the product continues to evolve.

  • Syncity AI isn’t built for constant prompting or endless runs, it’s built to support good decision-making.

    There are no hard usage caps, but the platform operates under a fair use policy. This allows us to keep the system fast, reliable, and valuable for everyone.

    In practice, most founders run Scouts a few times a week. That’s deliberate. Running them constantly creates noise, not clarity.

    If usage becomes excessive, we may gently throttle activity or reach out to understand what you’re trying to achieve and help you get better results.

    The goal isn’t to limit you, it’s to make sure Syncity AI helps you focus on what matters, not overwhelm you with output.
